Acceptance of Terms

The following are the standard Terms and Conditions (“Terms”) for the sale of Embrient products. By placing orders for these products, customers agree to the Terms specified herein. Any other terms offered by the customer regarding the sale of products must be agreed upon by Embrient and signed by authorized Embrient personnel.

Conditions of Use

Price, Taxes, and Other Charges

Product list prices are indicated on the Embrient website at embrient.com, or can be obtained by contacting customer support at info@embrient.com or 1-858-535-0545‬. Embrient reserves the right to change product pricing without notice. Where applicable, sales tax (including VAT), duties, or other government fees will be added to orders, unless a tax exemption certificate for the customer is on file with Embrient. Unless specified in a quote, the customer agrees to purchase products at the specified list prices at the time of the order. Outside of the USA, prices may vary due to global currencies, distribution channels, shipping fees, taxes, or other costs. All non-USA customers should contact their local distributor for accurate pricing and availability.

Terms of Payment

Terms of payment are net thirty days from the date of shipment for approved customers with a valid PO. Prepayment is required for new customers with no credit history with Embrient. All prices are in US dollars. For additional questions, please contact info@embrient.com or 1-858-535-0545.  

Cancellations/Changes

Orders arising hereunder may be changed or amended only by written agreement signed by both Embrient and Customer. Customers may NOT cancel an order(s) after it has been shipped by Embrient 

Product Use and Restrictions

All products from Embrient are intended for RESEARCH USE ONLY. Products are not intended for human or animal therapeutic or clinical diagnostic use. Products should only be used by properly trained and authorized lab personnel. Products and their components are not intended for resale, except through authorized Embrient distributors. Products and their components are restricted from use as components in the manufacturing of commercial kits or services by the customer, unless agreed upon in writing by Embrient. Sales of Embrient products are only permitted to customers at an authorized research or scientific institution.

Limited Product Warranty

Embrient warrants that all products will meet the specifications indicated on the individual Product DataSheet. This warranty lasts for 12 months from the date of receipt. Embrient products include directions for use/suggested applications and storage. Any deviations by the customers to such usage and storage will void any warranties. This warranty limits our liability to refund the purchase price or replacement of this product, at our discretion, in the event the product fails to perform due to any manufacturing defect.

Embrient makes no other warranties of any kind, expressed or implied, including without limitation, warranties of merchantability or fitness for a particular purpose or guarantees of results. Embrient shall not be liable for any direct, indirect, consequential or incidental damages arising out of the use, the results of use or the inability to use this product, and assumes no liability for injuries, damages or penalties resulting from product use, since the conditions of handling and use are beyond our control.

Indemnity

Customer confirms that they are fully responsible for the use of Embrient products and agree to indemnify, defend, and hold harmless Embrient and its officers, employees, distributors, and affiliates against any and all third party claims, loss, damage, expense, and liabilities, including attorney fees, arising from the following: (a) customer’s willful negligence or those of its employees, (b) customer’s breach of these Terms, (c) customer’s alteration of products, (d) customer’s violation of export laws, (e) customer’s violation of any third party intellectual property rights, and (f) customer’s failure to obtain any additional rights for use of products.

Intellectual Property

Embrient retains intellectual property rights to all products purchased by the customer, and in no way are these rights transferred to the customer. Intellectual property includes registered or unregistered trade secrets, manufacturing know-how, inventions, patents, copyright, trademarks, and business name.

Shipping & Returns

Shipping

We process online shopping cart, email, and phone orders between the hours of 10:00 a.m. and 8:00 p.m. Pacific Standard Time (PST), Monday through Friday. We make every effort to ship orders within 3-5 business days. Products are shipped to addresses in the USA by FedEx ground. International orders are processed within 5-7 business days and shipments are sent via FedEx International.

Products are shipped F.O.B. San Diego, CA. Shipping and handling charges are prepaid and added to your invoice. Embrient cannot be responsible for any delays in delivery for international shipments due to customs inspection and release. Similarly, any materials shipped to Embrient may experience customs delays that are outside of the responsibility of the company.

Back ordered items or orders requiring multiple shipments will be charged for each shipment. 

You may follow the update on Fedex website once the order has been picked up. Please allow Fedex to have at least 24 hours to update tracking information. Transit time and delivery time cannot be guaranteed, as it’s solely at the discretion of the carrier. 

Domestic- 3 to 7 business days. 

International- 5-14 business days. 

We ship out all of our orders from California/ the United States of America. Transit times differ depending on the final destination.

Returns

We generally DO NOT accept returns  due to safety reasons. Returns for unopened, unused, original packaging/sealed items may be requested. Returns are subject to inspections upon receiving. Refunds and adjustments are not guaranteed and may be denied upon completion of inspections.The refund/adjustments are processed 7-10 business days upon inspection. Once the Refund is initiated, it may take 7-14 business days to appear in the customer’s account depending on their financial institution.

The customer is responsible for all shipping fees. Shipping and Handling fees are non refundable.

Damaged/Incomplete Orders

If your order arrives damaged or incomplete, please immediately contact our Customer Support team at info@embrient.com or 1-858-535-0545 for assistance and instructions.
